1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and CortexMind Solutions Pvt. Ltd. ("CortexMind," "we," "us," or "our"), governing your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Services Description

CortexMind provides enterprise AI and automation products, including but not limited to:

  • CortexOne Portal: Multi-tenant B2B SaaS platform with centralized dashboard and subscription management.
  • Cortex AI Platform: Autonomous AI agents for inventory, reconciliation, sales, HR, legal, and more.
  • Cortex Studio: AI-powered productivity suite for document generation, PDF management, and content creation.
  • Enterprise AI Hub: AI intelligence layer for ERP integration with document processing and multi-channel support.
  • Data Governance Platform: Data quality monitoring and regulatory compliance platform.
  • Finance AI: Intelligent expense management, AR/AP automation, and financial reconciliation.

3. Account Registration and Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access or security breach.
  • We reserve the right to suspend accounts that violate these Terms or pose security risks.
  • Each account is for a single organization. Sharing credentials across organizations is prohibited.

4. Subscription and Payments

4.1 Plans and Pricing

We offer multiple subscription tiers (Starter, Professional, Enterprise) with varying features and usage limits. Current pricing is available on our website or upon request.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis through Stripe.
  • All fees are exclusive of applicable taxes unless stated otherwise.
  • Failed payments may result in service suspension after a 7-day grace period.

4.3 Refunds

Annual subscriptions may be refunded within 14 days of purchase if no significant usage has occurred. Monthly subscriptions are non-refundable. Enterprise agreements follow custom terms.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Attempt to gain unauthorized access to other accounts, systems, or networks.
  • Upload malicious code, viruses, or any harmful content.
  • Use the Services to process data that you do not have rights to process.
  • Resell, sublicense, or redistribute the Services without written consent.
  • Use AI-generated outputs from our Services to train competing AI models.
  • Circumvent usage limits, rate limits, or other technical restrictions.

6. Data Ownership and Intellectual Property

6.1 Your Data

You retain all rights to data you upload, process, or generate through our Services ("Customer Data"). We do not claim ownership of your data. We process Customer Data solely to provide the Services and as described in our Privacy Policy.

6.2 Our Intellectual Property

The Services, including all software, algorithms, AI models, user interfaces, designs, documentation, and trademarks, are owned by CortexMind and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during the subscription term.

6.3 AI-Generated Content

Content generated by our AI tools (reports, documents, summaries, etc.) using your data is owned by you. We make no claim to AI outputs produced from your inputs. However, the underlying AI models, prompts, and processing pipelines remain our intellectual property.

7. Service Level and Availability

  • We target 99.9% uptime for our production Services, excluding scheduled maintenance.
  • Scheduled maintenance windows will be communicated at least 48 hours in advance.
  • We are not liable for downtime caused by factors outside our control (force majeure, internet outages, third-party service failures).
  • Enterprise customers may receive custom SLAs with specific uptime guarantees and remedies.

8. AI Services Disclaimer

Our AI-powered features use machine learning and large language models that may occasionally produce inaccurate, incomplete, or biased outputs. Specifically:

  • AI outputs are provided as assistance and should not be treated as definitive advice (legal, financial, medical, or otherwise).
  • You are responsible for reviewing and validating AI-generated content before use in critical decisions.
  • We continuously work to improve accuracy but cannot guarantee error-free AI outputs.
  • AI capabilities depend on third-party LLM providers whose availability and performance may vary.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • CortexMind shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
  • We are not liable for losses arising from your reliance on AI-generated outputs without independent verification.
  • We are not liable for data loss caused by your failure to maintain adequate backups.

10. Indemnification

You agree to indemnify and hold CortexMind harmless from claims, damages, and expenses (including legal fees) arising from: (a) your use of the Services in violation of these Terms, (b) your violation of applicable laws, or (c) any data you process through the Services that you did not have rights to use.

11. Termination

  • You may cancel your subscription at any time through your account settings or by contacting us.
  • We may suspend or terminate your account for violation of these Terms with 30 days' notice (or immediately for egregious violations).
  • Upon termination, you may request export of your Customer Data within 30 days.
  • After the 30-day export period, all Customer Data will be permanently deleted.
  • Sections relating to IP, liability, indemnification, and governing law survive termination.

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before pursuing formal legal action, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

15. General Provisions

  • Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and CortexMind regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent.
